These terms govern your use of the Merry Men web interface at merrymen.wtf and any related pages we operate (the 'Interface'). By connecting a wallet or otherwise using the Interface, you agree to them. If you do not agree, do not use the Interface.
1. What Merry Men is
Merry Men is a front end for a set of immutable smart contracts deployed on public blockchains. The contracts let anyone create a fixed-supply ERC-20 token whose entire supply is seeded as single-sided, permanently locked Uniswap V3 liquidity, and let anyone trade those tokens through Uniswap.
The Interface is a convenience. It does not hold your funds, execute trades on your behalf, or act as an intermediary, broker, dealer, exchange, custodian, or money transmitter. Every action is a transaction you sign yourself, sent directly to public contracts. Those contracts are not upgradeable and the Merry Men team cannot reverse, pause, or claw back anything you do with them.
2. Eligibility and restricted jurisdictions
By using the Interface you represent and warrant that:
- you are at least 18 years old and have full capacity to enter into these terms;
- you are not a resident, citizen, or located in, and are not acting on behalf of any person in, a restricted jurisdiction;
- you are not subject to any sanctions list maintained by the United States, the United Kingdom, the European Union, or the United Nations;
- your use of the Interface is lawful where you are; and
- you are not using a VPN, proxy, or any other method to disguise your location for the purpose of accessing the Interface.
Restricted jurisdictions are: Cuba; Iran; North Korea; Syria; the Crimea, Donetsk, and Luhansk regions of Ukraine; any jurisdiction subject to comprehensive sanctions administered by the United States, the United Kingdom, the European Union, or the United Nations.
We may restrict or block access to the Interface from any jurisdiction, at any time, without notice. This does not affect the underlying contracts, which are permissionless and beyond our control.
3. No advice, no offer, no guarantee
Nothing on the Interface is financial, investment, legal, or tax advice, a recommendation to buy or sell any asset, or an offer or solicitation of any kind. Prices, charts, market caps, quotes, and any other figures we display are indicative and may be delayed, incomplete, or wrong.
Tokens launched through Merry Men are created by third parties. We do not vet, endorse, or verify any token, its creator, its name, its imagery, or any claim made about it. A token being listed on the Interface means only that it exists on-chain. The great majority of tokens of this kind lose most or all of their value. Assume you can lose everything you put in.
4. Your responsibilities
- You are solely responsible for your wallet, your keys, and every transaction you sign. Lost keys cannot be recovered by us.
- You are responsible for checking that the token address you are trading is the one you intend to trade.
- You are responsible for any taxes arising from your activity.
- You must not use the Interface for market manipulation, fraud, money laundering, sanctions evasion, or any other unlawful purpose.
- You must not upload content you do not have the right to use, or content that is unlawful, infringing, or designed to impersonate another project or person.
We may remove metadata (names, images, descriptions, links) from the Interface at our discretion, for example where it is unlawful or impersonates someone. Removal from the Interface does not and cannot change on-chain state.
5. Fees
Trades route through a Uniswap V3 pool with a 1% fee tier. That fee is split on-chain: half to the token creator, the remainder to protocol operations and the buyback treasury, as described in our documentation. Fees may change for future launches; the split baked into an existing pool does not change. You also pay network gas, except where a transaction is explicitly sponsored.
6. Third-party services
The Interface depends on third parties, including wallet and embedded-wallet providers, RPC and indexing providers, storage providers, and the Uniswap protocol. We do not control them and are not responsible for their availability, accuracy, or conduct. Your use of a third-party service is governed by that service's own terms.
7. Availability and changes
The Interface is provided on an as-is, as-available basis. We may modify, suspend, or discontinue it, in whole or in part, at any time and without notice. We may change these terms; if a change is material we will bump the version and ask you to accept the updated terms before you continue using the Interface with your wallet.
8. Disclaimers
To the fullest extent permitted by law, the Interface is provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Interface will be uninterrupted, timely, secure, or error-free, or that displayed data is accurate.
Smart contracts carry irreducible risk: bugs, economic exploits, oracle or RPC failure, chain reorganisation, and network congestion can each cause total loss. Audits and tests reduce risk; they do not remove it.
9. Limitation of liability
To the fullest extent permitted by law, the Merry Men team and its contributors will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenue, tokens, or data, arising out of or related to your use of the Interface, whether in contract, tort, or otherwise, even if advised of the possibility. Our aggregate liability for any claim relating to the Interface will not exceed the greater of the fees we actually received from your activity in the three months before the claim, or USD 100.
Nothing here excludes liability that cannot lawfully be excluded.
10. Indemnity
You agree to indemnify and hold harmless the Merry Men team and its contributors from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Interface, your breach of these terms, or your violation of any law or third-party right.
11. Governing law
These terms are governed by the laws of England and Wales, without regard to conflict-of-laws rules. The courts of England and Wales have exclusive jurisdiction over any dispute arising from them, subject to any mandatory consumer protections available to you where you live.
